Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and IT Genius ("Company", "we", "our", "us") governing your access to and use of our website and services.

Our Services

IT Genius provides the following professional IT services:

• Web development and design
• Mobile application development (Android & iOS)
• Custom software development
• Digital marketing and SEO services
• Cloud hosting and IT consulting
• UI/UX design and branding
• Bulk SMS and communication solutions

Service details, deliverables, timelines, and pricing are defined in individual project agreements or proposals.

User Responsibilities

When using our services, you agree to:

• Provide accurate, complete, and current information
• Maintain the confidentiality of your account credentials
• Notify us immediately of any unauthorized account access
• Use our services only for lawful purposes
• Not engage in any activity that disrupts or interferes with our services
• Respect the intellectual property rights of IT Genius and third parties
• Pay all agreed fees promptly as per the project agreement

Payment Terms

For all project engagements, the following payment terms apply:

• Advance Payment: A minimum of 50% upfront payment is required before project commencement
• Milestone Payments: Remaining payments are due as per project milestones agreed upon in the contract
• Final Payment: Balance is due upon project completion and before final delivery
• Refunds: Refund requests are considered on a case-by-case basis as per the project agreement
• Late Payments: Late payments may result in project delays or suspension of services

Intellectual Property

All content on our website — including text, graphics, logos, icons, and software — is the property of IT Genius and is protected by applicable intellectual property laws.

Upon full payment for a project:

• The client receives ownership of the final deliverables as specified in the project agreement
• IT Genius retains the right to display the project in our portfolio unless otherwise agreed
• Source code ownership terms are defined per the individual project contract
• Third-party components (libraries, plugins) remain subject to their respective licenses

Prohibited Activities

You are strictly prohibited from:

• Using our services for illegal, fraudulent, or harmful activities
• Attempting to gain unauthorized access to our systems
• Transmitting viruses, malware, or any destructive code
• Reproducing, distributing, or modifying our proprietary content without permission
• Engaging in spam, phishing, or unsolicited communication through our platforms
• Reverse engineering, decompiling, or disassembling any of our software

Limitation of Liability

To the maximum extent permitted by law, IT Genius shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, business, or goodwill
• Damages arising from third-party services or content
• Interruption of service due to circumstances beyond our control

Termination

Either party may terminate a service agreement with written notice as specified in the project contract. We reserve the right to suspend or terminate your access to our services immediately if you violate these Terms without prior notice or liability.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes by updating the "Last Updated" date. Continued use of our services after changes constitutes your acceptance of the revised Terms.
